  • Acting for a major domestic contractor on a MUR 100 million construction dispute with an RES property developer.
  • Assisting a major Mauritian bank in the financing of an investment fund and of a construction venture in India
  • Acting for different hotel groups in Mauritius in respect of obtaining funds from the Mauritius Investment Corporation Ltd which has been set up to ensure the safeguard of the tourism industry, national economic and social stability and to protect the banking and economic system of Mauritius.
  • Acting for a Real Estate Investment Trust (REIT) in the acquisition of a well-known hotel in Mauritius.
  • Advising a wholly-owned subsidiary of the MCB Group Limited (which owns the biggest bank in Mauritius) on the acquisition of the entire shareholding of Club Med S.A.S in COMPAGNIE DES VILLAGES DE VACANCES DE L’ISLE DE FRANCE LIMITEE. This transaction involved extensive negotiation and re-drafting of the existing lease agreement with the management company of the Club Med Pointe aux Canonniers hotel resort as well as negotiating and drafting of a development management agreement.
  • Advising Dentressangle Initiatives on the acquisition of shares in Sun Resorts Limited, a renowned chain of hotels in Mauritius and listed on the Stock Exchange of Mauritius.
  • Acting for Outrigger in its acquisition of the entire issued share capital of the operating company owning Mövenpick Resort & Spa (now called Outrigger Mauritius Beach Resort), including assistance to obtain the Prime Minister’s Office approval.
  • Acting for Outrigger on the sale of its hotel portfolio to Singha, which included correctly advising on whether the Prime Minister’s Office approval was required or not.
  • Advising the buyers in respect of the acquisition of Paradise Cove Hotel and included the assisting in the negotiation and drafting of the shareholders’ agreement, the share purchase agreement, and the hotel management agreement.
  • Advising the project company in respect of the project financing of Zilwa Resort Ltd (including the drafting of the shareholders and subscription agreement), and the negotiation and drafting of the Hotel Management Agreement.
  • Advising WP Carey in respect of the acquisition of 100% of the shareholding of CMAR which owns La Plantation d’Albion Club Med including the conducting of the due diligence, negotiation of the share purchase agreement, and the lease agreement between the owner and operator.
  • Acting for the project company in respect of the development of Four Seasons Resorts in Mauritius including its project financing and negotiations with Four Seasons.
  • Advising Two Futures Ltd and the Casuarina Resort & Spa on the development of a real estate project under the Property Development Scheme in Mauritius.
  • Advised on the drafting and negotiation of the hotel management agreement pertaining to the Hilton hotel in Mauritius.
  • Advising on the drafting and negotiation of the lease agreement between Attitude Group and CIM Property Holdings in respect of the Emeuraude Beach Attitude Hotel.
  • Acting as legal advisors to AEGIDE DOMITYS and Two Futures on the EUR 58.5 million structuring and capital raise for the construction of Le Domaine de Grand-Baie.
  • Advising One&Only Le Saint Géran on rental pool agreements following the construction of private residences for guests.
  • Advising Villas Valriche Resort Ltd with regards to the drafting of a lease agreement to be entered into with homeowners and with Villas Valriche as the lessee as well as a facilities management agreement.
  • Advising Royal Park Resorts on the drafting of a rental pool agreement with the homeowners with Royal Park as the lessee.
  • Advising the sponsor of an integrated resort in Botswana in relation to the appointment of a hotel operator including review and negotiation of the terms of the hotel management agreement and technical services agreement.
  • Acting for Barclays Bank Mauritius Ltd (Now ABSA Bank) on a GBP 30 million debt restructuring for its legal due diligence on an international hotel group.
